These FishyAF Ambassador Program Terms ("Terms") govern participation in the FishyAF Ambassador Program ("Program"). By participating in the Program, submitting a qualifying Species Quest catch, claiming Ambassador status, using an Ambassador Support Code, accepting Program benefits, or otherwise participating as a FishyAF Ambassador, you acknowledge that you have read and agree to these Terms.

1. THE PROGRAM

The FishyAF Ambassador Program is a voluntary community program designed to recognize and connect anglers who support FishyAF, participate in FishyAF Quests and Awards, and share their fishing experiences. Participation in the Program does not guarantee any particular benefit, reward, exposure, compensation, opportunity or result except where FishyAF expressly states otherwise in these Terms.

2. ELIGIBILITY

FishyAF determines eligibility for the Program and whether a catch, submission, achievement, purchase or other activity satisfies Program requirements. Species Quest catches must meet the requirements published by FishyAF at the time of submission. FishyAF may request additional information or verification when reasonably necessary to verify a catch, achievement or Program activity. FishyAF may reject fraudulent, misleading, manipulated, duplicate, unverifiable or otherwise nonqualifying submissions.

3. NO EMPLOYMENT, AGENCY OR PARTNERSHIP

Participation in the Program does not create an employment, independent contractor, agency, partnership, joint venture, franchise or other similar relationship between an Ambassador and FishyAF. Ambassadors are not authorized to make commitments, representations, warranties or agreements on behalf of FishyAF or otherwise bind FishyAF. Ambassadors control when, where and whether they fish, post content, purchase products or participate in Program activities. Unless expressly stated otherwise, there are no required working hours, posting quotas, sales quotas or minimum participation requirements.

4. PROGRAM BENEFITS

FishyAF may offer Program benefits including, but not limited to, Ambassador discounts, physical pins, digital awards, social media features, Ambassador Profiles, early access, product-testing opportunities, free products, challenges, giveaways, raffle entries, Ambassador Support Codes and other benefits. Except for benefits or credits already earned under expressly stated Program rules, Program benefits are discretionary and are not guaranteed. Availability may be limited. FishyAF may add, remove, replace, modify, suspend or discontinue Program benefits at any time, subject to applicable law. Physical rewards such as pins are subject to availability and may be substituted, delayed or discontinued.

5. AMBASSADOR SUPPORT CODES

Eligible Ambassadors may receive a personal Ambassador Support Code. When a customer uses a valid Support Code on a qualifying FishyAF purchase, the associated Ambassador may earn FishyAF gift card credit equal to 10% of the qualifying purchase amount, subject to these Terms. For purposes of the Program, a "qualifying purchase" means [INSERT FINAL QUALIFYING PURCHASE DEFINITION]. Support credit may be reduced, reversed or withheld for returned, refunded, cancelled, fraudulent, disputed or otherwise ineligible transactions. Support Codes cannot be combined with other discount or promotional codes unless FishyAF expressly allows otherwise. FishyAF may investigate suspected manipulation, self-dealing, fraud, automated transactions, misuse or attempts to circumvent Program rules and may withhold or reverse Support credit associated with fraudulent, abusive or otherwise nonqualifying transactions.

6. PAYMENT OF AMBASSADOR SUPPORT CREDIT

Ambassador Support rewards are issued quarterly as FishyAF gift card credit unless FishyAF expressly provides another method. FishyAF will use reasonable efforts to calculate and issue eligible credit following the end of each applicable quarter. Ambassadors are responsible for keeping their contact information current. FishyAF may correct calculation, attribution, tracking or administrative errors. Gift card credit is subject to any additional terms applicable to FishyAF gift cards and applicable law.

7. DISCOUNTS AND PROMOTIONS

Ambassador discounts and other promotional benefits may be subject to exclusions, expiration dates, purchase limits and other restrictions. FishyAF may modify or discontinue Ambassador discounts and promotions at its discretion, subject to applicable law. Ambassador Support Codes may not be combined with other promotional or discount codes unless expressly permitted by FishyAF.

8. CONTENT YOU PROVIDE TO FISHYAF

By submitting photographs, videos, captions or other content directly to FishyAF for participation in the Program, you represent that you own the content or otherwise have the necessary rights to provide it to FishyAF. You grant FishyAF a non-exclusive, worldwide, royalty-free license to reproduce, display, publish, distribute, modify, crop, resize and otherwise use submitted Program content in connection with FishyAF and its marketing, advertising, website, social media, email communications and promotion of the Program and brand. Where reasonably practical, FishyAF may identify or tag the Ambassador associated with the content, but attribution is not guaranteed. You remain the owner of your original content. If content includes another identifiable person, you are responsible for having any permission necessary to submit that content for these uses.

9. SOCIAL MEDIA AND ENDORSEMENT DISCLOSURES

Ambassadors are responsible for complying with applicable laws, regulations and platform requirements when posting about FishyAF. If an Ambassador receives discounts, products, rewards, Support Code benefits or anything else of value from FishyAF and posts content endorsing or promoting FishyAF, the Ambassador is responsible for clearly disclosing the relationship when required by applicable law. Required disclosures must be clear, conspicuous and placed where viewers are likely to notice them. FishyAF may provide suggested disclosure language, but each Ambassador remains responsible for complying with applicable requirements.

10. FISHING, TRAVEL AND OTHER ACTIVITIES

Participation in the Program is voluntary. FishyAF does not direct, supervise or control an Ambassador's fishing, boating, travel, outdoor activities or other activities undertaken in connection with the Program. Ambassadors are solely responsible for deciding whether, where, when and how to participate. Ambassadors are responsible for following applicable fishing regulations, boating laws, licensing requirements, property restrictions and other applicable laws and rules. Participation may involve risks associated with fishing, boating, weather, wildlife, water, travel, equipment and outdoor activities. To the fullest extent permitted by applicable law, each Ambassador voluntarily assumes the risks associated with their participation in these activities. No FishyAF Award, Quest, challenge or benefit should be interpreted as encouraging illegal, reckless or unsafe activity.

11. CONDUCT

FishyAF wants the Program to remain a positive fishing community. FishyAF may suspend or remove an Ambassador for conduct including fraud or cheating; falsifying catches, weights, species or achievements; submitting content belonging to another person without authorization; manipulating Support Code transactions; harassment, threats or abusive behavior; illegal activity; serious mistreatment of fish or wildlife; conduct that creates a significant risk of harm to FishyAF, its customers or the Ambassador community; or other material abuse of the Program. FishyAF will determine Program eligibility and enforcement decisions in good faith and in its reasonable discretion.

12. ERRORS AND CORRECTIONS

FishyAF is a small business, and administrative or technical errors may occur. A catch may be missed. A profile may contain incorrect information. An Award may not appear. A transaction may be incorrectly attributed. A reward may be delayed. If you believe an error has occurred, please contact FishyAF. FishyAF may investigate and correct Program records, awards, profiles, credits and other administrative errors. An accidental website display, calculation error, technical malfunction or administrative mistake does not create an entitlement to a benefit that was not otherwise earned under the applicable Program rules.

13. NO GUARANTEE OF RESULTS

Participation in the Program does not guarantee social media growth, followers, engagement, sales, income, sponsorships, free products, exposure, features, fishing opportunities or any other particular result. Individual results will vary.

14. PROGRAM CHANGES

FishyAF may modify, suspend or discontinue the Program or any portion of it from time to time. FishyAF may also modify eligibility requirements, Quest rules, Award criteria, Program levels, benefits, discounts, Support Code rules and other Program features. When reasonably practical, material changes will be posted on the FishyAF website. Changes will apply prospectively as required by applicable law. Previously earned Support credit or other benefits that FishyAF has expressly committed to provide will be handled according to the terms applicable when they were earned, unless applicable law permits otherwise.

15. REMOVAL OR WITHDRAWAL

Ambassadors may stop participating in the Program at any time. FishyAF may suspend or terminate an Ambassador's participation for violation of these Terms, fraud, abuse of the Program, conduct described above or other legitimate Program or business reasons, subject to applicable law. Removal from the Program does not create a right to compensation for future Program benefits that have not been earned. Treatment of valid Support credit earned before termination will be governed by these Terms and applicable law.

16. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROGRAM AND PROGRAM BENEFITS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. FISHYAF DOES NOT WARRANT THAT THE PROGRAM WILL ALWAYS BE AVAILABLE, UNINTERRUPTED OR ERROR-FREE OR THAT ANY PARTICULAR BENEFIT, AWARD, PRODUCT, FEATURE OR OPPORTUNITY WILL REMAIN AVAILABLE. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FISHYAF AND ITS OWNERS, OFFICERS, EMPLOYEES AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO PARTICIPATION IN THE PROGRAM. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FISHYAF WILL NOT BE RESPONSIBLE FOR INJURY, LOSS OR DAMAGE RESULTING FROM AN AMBASSADOR'S INDEPENDENT FISHING, BOATING, TRAVEL, OUTDOOR OR OTHER ACTIVITIES. TO THE FULLEST EXTENT PERMITTED BY LAW, FISHYAF'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM WILL NOT EXCEED THE GREATER OF (A) THE VALUE OF UNREDEEMED PROGRAM BENEFITS VALIDLY EARNED BY THE AMBASSADOR DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. Some jurisdictions do not permit certain limitations or exclusions of liability, so some of these limitations may not apply.

18. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless FishyAF and its owners, officers, employees and affiliates from third-party claims, liabilities, damages and reasonable expenses arising from your unlawful conduct, your material violation of these Terms, or content you submit without having the rights necessary to provide it. This provision does not require you to indemnify FishyAF for liability that cannot legally be shifted to you.

19. CHANGES TO THESE TERMS

FishyAF may update these Terms from time to time. The current version will be posted on the FishyAF website with its effective or "Last Updated" date. Material changes will apply as permitted by applicable law. Continued participation after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

20. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of [INSERT STATE], without regard to conflict-of-law principles, except where applicable law requires otherwise. Any dispute arising from these Terms or the Program will be handled in accordance with [INSERT FISHYAF'S EXISTING WEBSITE TERMS / DISPUTE RESOLUTION PROVISION].

21. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

22. ENTIRE PROGRAM TERMS

These Terms, together with any Program rules expressly incorporated by reference and FishyAF's applicable website terms and policies, constitute the terms governing participation in the FishyAF Ambassador Program. Marketing copy, social posts, FAQs and the intentionally ridiculous "Very Serious Ambassador Terms" are provided to explain the Program in plain English. If there is a conflict between those materials and these Terms, these Terms control.
